Terms of Service

1. Agreement to terms

These Terms of Service ("Terms") govern your use of Prysm Payroll (the "Service"), operated by Prysm Payroll ("we," "us," "our"). By signing up for or using the Service, you agree to these Terms. If you don't agree, don't use the Service.

2. What the Service does

Prysm Payroll is a browser-based tool that reviews payroll export files you provide and flags potential errors — such as rate mismatches, missing hours, or duplicate entries — for your review. The Service runs entirely in your browser; the payroll files you check are not uploaded to or stored on our servers.

The Service is a review aid, not a substitute for professional payroll, tax, or legal judgment. You are responsible for verifying your payroll before finalizing it. We do not guarantee that the Service will catch every error, and it is not a substitute for compliance review by a qualified payroll professional or accountant.

3. Plans, billing, and free trial

Prysm Payroll is offered on two subscription tiers, billed monthly through Stripe:

  • $59.99/month — for businesses with up to 200 employees.
  • $99.99/month — for businesses with 201–500 employees.

New subscriptions include a 14-day free trial. You will not be charged during the trial. If you do not cancel before the trial ends, your card on file will be charged automatically at the start of your selected plan, and monthly thereafter, until you cancel.

If your headcount grows beyond the tier you're subscribed to, you're responsible for upgrading to the correct plan. We reserve the right to ask you to switch tiers if your usage doesn't match your plan.

4. Cancellation and refunds

You can cancel anytime by emailing support@prysmpayroll.com. If you cancel during your 14-day trial, you will not be charged. If you cancel after being charged for a billing period, your subscription will remain active through the end of that period, but we do not provide partial-month refunds for time already paid for. 5. Your responsibilities

  • You're responsible for the accuracy of the payroll files you upload and for reviewing flagged results before acting on them.
  • You're responsible for keeping your account and portal login credentials confidential.
  • You agree not to use the Service for any unlawful purpose or to attempt to disrupt, reverse-engineer, or gain unauthorized access to the Service.

6. Data and privacy

Payroll files you check with the Service are processed locally in your browser and are never transmitted to us. See our Privacy Policy for details on the limited account and billing information we do collect.

7. No warranty

The Service is provided "as is" and "as available," without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be error-free, uninterrupted, or that it will catch every payroll error.

8. Limitation of liability

To the fullest extent permitted by law, Prysm Payroll and its owners will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunity, arising out of or related to your use of the Service — including payroll errors the Service fails to flag. Our total liability for any claim relating to the Service will not exceed the amount you paid us in the three months before the claim arose.

9. Changes to the Service or these Terms

We may update the Service or these Terms from time to time. We'll update the "Last updated" date above when we do. Continued use of the Service after a change means you accept the updated Terms.

10. Termination

We may suspend or terminate your access to the Service if you violate these Terms or misuse the Service. You may stop using the Service and cancel your subscription at any time as described in Section 4.

11. Governing law

These Terms are governed by the laws of the State of Arizona, without regard to conflict-of-law principles. [optional: add a dispute-resolution or arbitration clause here if you want one — an attorney should confirm this fits your situation].
